1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Arialy Inc., doing business as "Clave" ("we," "us," or "our"), regarding your access to and use of all services operated by Arialy Inc., available through tryclave.ai, clave.restaurant, and any related subdomains (collectively, the "Service"). The Clave platform is an AI-powered operations assistant service for Quick Service Restaurant (QSR) franchises.
By accessing or using Clave, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Service.
2. Description of Service
Clave provides an all-in-one AI solution for QSR franchises that connects your POS, inventory, labor, ERP, and other systems into one AI brain that watches every store. Our services include but are not limited to:
- Integration with POS systems, inventory management, labor scheduling, ERP systems, and other business tools
- AI agents that analyze your data, recommend changes, and help execute them across locations
- Voice-powered AI assistants for operational queries and documentation
- Financial analytics and reporting tools
- Computer vision and data analysis capabilities
- Store analytics and performance insights
- Real-time alerts and automated actions based on data analysis
- Multi-tenant platform for franchise operations
Clave works with your existing tech stack without requiring you to change your current systems. Our AI agents can analyze data, provide recommendations, and execute authorized actions across your connected systems.
3. Account Registration and Security
3.1 Account Creation
To use Clave, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Account Security
You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.
3.3 Enterprise Access
Clave is currently available for enterprise customers only. Access is granted at our discretion and may require approval or a demo scheduling process.
4. Acceptable Use
You agree not to:
- Use the service for any illegal or unauthorized purpose
- Violate any applicable laws or regulations
- Infringe upon the rights of others, including intellectual property rights
- Transmit any harmful code, viruses, or malicious software
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the service or servers connected to the service
- Use automated systems to access the service without authorization
- Share your account credentials with unauthorized parties
- Use the service to compete with or harm Clave's business
5. Data and Content
5.1 Your Data
You retain ownership of all data and content you upload or provide to Clave, as well as data accessed from your connected systems ("Your Data"). You grant us a limited, non-exclusive license to use, process, and store Your Data solely to provide and improve our services.
5.2 Data Accuracy
You are responsible for ensuring the accuracy, completeness, and legality of Your Data, including data from your connected systems. We are not responsible for errors or inaccuracies in Your Data or data from third-party systems you choose to integrate.
5.3 Third-Party Integrations
When you connect Clave to third-party systems (POS, inventory, labor, ERP, etc.), you authorize us to access and process data from those systems. You are responsible for ensuring you have the right to grant such access and that such access complies with your agreements with those third parties. You can disconnect integrations at any time, which will stop data flow from those systems.
5.4 Data Isolation
Clave operates on a multi-tenant architecture. Your Data is isolated by tenant and is not accessible by other tenants. However, we may use aggregated, anonymized data for service improvement purposes.
5.5 Data Deletion
You may request deletion of Your Data at any time. We will delete Your Data in accordance with our Privacy Policy and applicable law, subject to legal retention requirements. Disconnecting integrations will stop new data flow but may not immediately delete previously collected data.
6. Intellectual Property
6.1 Our Intellectual Property
The Clave platform, including its software, design, features, and content, is owned by Arialy Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our service without our express written permission.
6.2 Your Intellectual Property
You retain all rights to Your Data and any intellectual property you own. By using Clave, you do not grant us any rights to your intellectual property beyond what is necessary to provide our services.
7. Payment and Billing
If you purchase a subscription or use paid features, you agree to pay all fees associated with your account. Fees are non-refundable except as required by law or as explicitly stated in our refund policy. We reserve the right to change our pricing with reasonable notice.
8. Service Availability and Modifications
We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with or without notice. We are not liable for any loss or damage resulting from service interruptions or modifications.
9. Automated Actions and Recommendations
Clave's AI agents may analyze your data and provide recommendations or execute automated actions across your connected systems. You are responsible for:
- Reviewing and approving automated actions before they are executed, where such approval mechanisms are provided
- Monitoring automated actions and ensuring they align with your business objectives
- Verifying the accuracy and appropriateness of AI-generated recommendations before implementation
- Maintaining oversight of changes made to your connected systems through Clave
While Clave's AI agents are designed to help optimize your operations, you remain responsible for all business decisions and actions taken based on our recommendations or automated actions. We are not liable for any losses or damages resulting from automated actions or recommendations, except as required by law.
10. SMS Communications
Entity disclosure. "Clave" is the product brand and the DBA ("doing business as") name of Arialy Inc., the legal entity that owns and operates the Clave platform. Customers know us as "Clave"; the legal entity on contracts, invoices, and regulatory filings (including this SMS campaign) is Arialy Inc.
No sale or sharing of mobile information. Arialy Inc. (dba Clave) does not sell, rent, or share mobile phone numbers, SMS opt-in data, or SMS message content with third parties or affiliates for marketing or promotional purposes. SMS opt-in data and consent records are explicitly excluded from any data sharing covered elsewhere in these Terms or our Privacy Policy.
Arialy Inc. (dba Clave) sends SMS messages to authenticated business users regarding the restaurant operations they manage. This is an enterprise B2B platform — recipients are exclusively restaurant owners, franchise operators, multi-unit managers, and corporate operations staff at our customer organizations. We do not send SMS to end consumers, diners, or the general public. The platform is invite-only; users cannot self-register and must be individually invited by their organization's admin.
10.1 Consent to Receive SMS — Call to Action
Users provide explicit, affirmative consent to receive SMS messages through the Clave platform. Each user must actively check an SMS consent checkbox in their profile settings before any messages are sent. Users are invited by their organization but must individually opt in. The organization cannot opt users in on their behalf.
Each user manages their own SMS consent under Settings > My Profile in the Clave platform. The consent checkbox is unchecked by default. The user must actively check the box and click Save before any SMS messages are sent. Consent status, IP address, and timestamp are recorded in our audit log.
The screenshot below shows the SMS consent checkbox as it appears in the Clave platform under Settings → My Profile on first visit. The box is empty by default — the user must affirmatively check it and click Save before any SMS is sent. The Clave logo (top-left of the sidebar) identifies the sender; the checkbox label discloses message type, use case, frequency, rates, and STOP/HELP keywords as required by CTIA guidelines.

Admins cannot opt invitees in on their behalf. The Add Team Member flow does not expose any SMS consent control to admins; the invited member must opt in themselves from their own Settings → My Profile page after logging in. This is enforced both in the UI and server-side.

10.2 Message Content
SMS messages are operational notifications sent to the operator about the restaurant locations they manage. We never send marketing or promotional content via SMS. Categories include: daily sales summaries, weekly labor cost reports, performance anomaly alerts, menu-mix insights, comparative sales analysis, scheduled report reminders, and promotion/campaign go-live alerts (internal operational notices to the operator about their own stores' promotions — not marketing offers to consumers). Examples:
- "Clave: Daily sales summary — $12,450 across 5 locations. Top store: Doral $3,200. Reply STOP to opt out, HELP for help."
- "Clave: Weston location sales down 15% vs last week. View breakdown in your dashboard. Reply STOP to opt out, HELP for help."
- "Clave: Weekly labor report ready. Total labor $8,200 (28.5% of sales). 2 stores exceeded target. Reply STOP to opt out, HELP for help."
- "Clave: $5 Classic Burger LTO launches Monday across all 5 locations. Confirm POS pricing is updated and staff briefed. Reply STOP to opt out, HELP for help."
10.3 Message Frequency and Rates
Message frequency varies based on the alerts each user enables — typically 1–7 messages per week per user. Messages are operational only; we never send marketing or promotional content via SMS. Standard message and data rates may apply depending on your mobile carrier and plan. Clave is not responsible for any charges from your carrier.
10.4 Opting Out
You may opt out of SMS communications at any time by:
- Replying STOP to any message — you will receive a confirmation: "You have successfully been unsubscribed. You will not receive any more messages from this number. Reply START to resubscribe."
- Unchecking the messaging consent checkbox in your account profile settings
After opting out, you will no longer receive SMS messages from Clave. To opt back in, re-enable the consent checkbox in your profile settings.
10.5 Help
Reply HELP to any message for assistance. Response: "Clave (Arialy Inc.): Reply STOP to unsubscribe. Msg & data rates may apply. Contact team@tryclave.ai for support." You can also contact us at team@tryclave.ai.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the service will be uninterrupted, secure, or error-free, or that any defects will be corrected. AI-generated content, insights, and recommendations are provided for informational purposes and should not be relied upon as the sole basis for business decisions. You should exercise independent judgment and verify important information before making business decisions.
We are not responsible for the availability, accuracy, or reliability of third-party systems you choose to integrate with Clave. Any issues with third-party integrations should be addressed with the respective third-party providers.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARIALY INC. (DBA CLAVE) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.
Our total liability for any claims arising from or related to the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Clave and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the service, violation of these Terms, or infringement of any rights of another party.
14. Termination
14.1 Termination by You
You may terminate your account at any time by contacting us or using account deletion features, if available.
14.2 Termination by Us
We may suspend or terminate your access to the service immediately, without prior notice, if you violate these Terms, engage in fraudulent or illegal activity, or for any other reason we deem necessary.
14.3 Effect of Termination
Upon termination, your right to use the service will immediately cease. We may delete Your Data in accordance with our Privacy Policy, subject to legal retention requirements.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Clave operates, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction, as applicable.
16. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the service after such changes constitutes acceptance of the modified Terms.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clave regarding your use of the service and supersede all prior agreements and understandings.
